ARTICLE X. AMENDMENTS
Section 1. Amendments: Subject to the limitations imposed by law, these Bylaws may be amended (a) by a vote of two-thirds (2/3) of the voting members present at any annual general meeting, or (b) special meeting of the members called for that purpose provided that a quorum of voting members is present.

Proposed:

ARTICLE X. AMENDMENTS
Section 1. Amendments: These bylaws may be amended at any annual general meeting or special meeting by a vote of two-thirds (2/3) of the voting members present, or represented by proxies, provided a copy of the proposed amendment(s) has been included in the call of the annual or special meetings".

Reason: To add the fact that previous notice must be given of all proposed amendments to the bylaws. Previous notice and a two-thirds vote is a requirement in Robert's Rules of Order Newly Revised (RONR).

This is a housekeeping change as recommended by the Parliamentarian, Lou Fasulo, who will be our Parliamentarian at the 2009 AGM.
